These Terms of Service (“Terms”) govern your access to and use of the btcnow.com website, the BTC Now web and mobile application, and related services (collectively, the “Services”) provided by BTC Now Inc. (“BTC Now,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility
To use the Services, you must be at least 18 years old, a natural person, a United States resident with a valid Social Security number or ITIN, and able to form a binding contract. The Services are offered only in jurisdictions where BTC Now makes them available. You agree that all information you provide is accurate and current.
2. Relationship to the Bitcoin Purchase Agreement
These Terms govern your use of the Services generally. They do not govern the purchase of Bitcoin itself. Any purchase of Bitcoin on installment terms is governed exclusively by the separate Bitcoin Purchase Agreement you enter into with BTC Now, together with its schedules and addenda (the “Agreement”). If anything in these Terms conflicts with the Agreement with respect to a Bitcoin purchase, the Agreement controls. Nothing in these Terms modifies the Agreement.
3. The Services
BTC Now sells Bitcoin from inventory it owns to qualified customers on fixed installment terms, retaining title until the purchase price is paid in full, at which point the Bitcoin is delivered to the customer’s designated wallet. The Services provide the platform through which you can apply, qualify, manage your account, make payments, and complete or terminate an Agreement.
BTC Now is not a bank, broker-dealer, investment adviser, money transmitter, or cryptocurrency exchange. The Services and any informational content we provide are not investment, legal, tax, or financial advice, and nothing we provide is a recommendation to buy, hold, or sell any asset.
4. Accounts and security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@btcnow.com of any unauthorized use. We may suspend or terminate access to protect the Services, our customers, or to comply with law.
5. Application and qualification
Use of the Services and submission of an application do not guarantee approval. As part of qualification, and with your authorization, we verify your identity, screen against sanctions and other watchlists, and obtain and evaluate consumer report and financial information. We may decline an application or offer different terms in our discretion, consistent with applicable law. Where required, we will provide the disclosures and notices mandated by law (including any adverse-action notice).
6. Electronic communications and signatures
By using the Services, you consent to receive communications from us electronically, including account notices, disclosures, and required legal notices, and you agree that electronic signatures, contracts, and records satisfy any legal requirement that such communications be in writing, consistent with the federal E-SIGN Act and the Uniform Electronic Transactions Act (UETA). You may withdraw consent or request paper copies as described in your Agreement; withdrawal may limit your ability to use certain Services.
7. Acceptable use
You agree not to: (a) use the Services for any unlawful, fraudulent, or unauthorized purpose; (b) provide false, inaccurate, or misleading information, or use another person’s identity or financial information; (c) interfere with or disrupt the Services or attempt to gain unauthorized access to any systems; (d) use the Services to launder money or finance prohibited activity, or in violation of sanctions laws; (e) reverse engineer, scrape, or copy the Services except as permitted by law; or (f) use the Services in a manner that violates these Terms or applicable law.
8. Intellectual property
The Services, including all software, text, graphics, logos, and the “BTC Now” name and marks, are owned by BTC Now or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not use our marks without our prior written permission.
9. Third-party services
The Services rely on third parties, including our qualified custodian (Fireblocks Trust Company), bank-data aggregation (Plaid), and our payment processor. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for the acts, omissions, or content of third parties, and links to third-party sites are provided for convenience only.
10. Bitcoin risk disclosures
- Volatility. The market price of Bitcoin is highly volatile and may decline substantially, including below the price you agree to pay. Your purchase price and Bitcoin quantity are fixed at Agreement generation and do not change with the market price.
- No guaranteed value or return. Bitcoin is not an investment offered by BTC Now, and we make no representation about its future value. You may lose money.
- Irreversibility. Bitcoin transactions on the blockchain are generally irreversible. You are responsible for the accuracy and security of any wallet address you provide for delivery.
- Not insured. Bitcoin and your account are not deposits and are not insured by the FDIC, SIPC, or any government agency.
- Title and delivery. BTC Now retains title to the Bitcoin until your purchase price is paid in full, as set out in your Agreement.
- Regulatory uncertainty. The legal and regulatory treatment of Bitcoin continues to evolve and could adversely affect the Services or the value or transferability of Bitcoin.

12. Limitation of liability
You agree to indemnify and hold BTC Now harmless from claims and expenses arising out of your misuse of the Services or your violation of these Terms or applicable law.
13. Dispute resolution
This Section mirrors the dispute-resolution approach in your Bitcoin Purchase Agreement so that you face one consistent process.
- Your choice. For any dispute arising out of or relating to the Services or these Terms, you may elect to resolve it through either (a) binding arbitration or (b) litigation in court. You make this election at the time a dispute arises, not in advance.
- Arbitration. If you elect arbitration, it will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. BTC Now will pay the arbitration filing fees and arbitrator costs. Arbitration may be conducted in person, by phone, or by written submission, at your election.
- Small claims. Either party may bring an individual claim in small claims court if it qualifies.
- No class-action waiver. These Terms do not require you to waive participation in class or representative actions.
- If you elect court, venue lies in the state or federal courts located in your state of residence.
- Opt out of arbitration. You may opt out of the arbitration option within sixty (60) days of first accepting these Terms by sending written notice to disputes@btcnow.com. Opting out defaults dispute resolution to litigation only and does not affect any other term.
14. Governing law
These Terms are governed by the laws of your state of residence, together with applicable U.S. federal law, without regard to conflict-of-laws principles.
15. Changes and termination
We may modify these Terms or the Services from time to time. We will post the revised Terms with a new “Last updated” date and, where required, provide additional notice. Changes are effective when posted, and your continued use of the Services constitutes acceptance. We may suspend or terminate your access to the Services at any time as permitted by law; termination of access does not by itself terminate any Agreement, which is governed by its own terms.
16. General
These Terms, the Privacy Policy, and (for any Bitcoin purchase) your Agreement constitute the entire agreement between you and BTC Now regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be provided through the Services or by email.
